These Terms and Conditions govern the commercial relationship between Minishop4U Online Services Pvt. Ltd. and the Retailer / Partner / Distributor / Super Distributor. This document constitutes the complete agreement between the parties. Any amendments must be in writing and communicated by an authorized representative of Minishop4U Online Services. Minishop4U Online Services is a digital financial service provider, incorporated under the Companies Act, 2024, with its registered office at Plot No-14 Gautam Vihar, Balloke, Haibowal, Ludhiana Kty, Ludhiana, Punjab, India, 141001.
The Distributor/Super Distributor shall bear the cost of infrastructure, including devices for installing the Dakmoney application. Only registered devices are allowed to run the software. Any unregistered use is strictly prohibited.
Retailers must display Dakmoney signage and branding prominently as per brand guidelines.
Upon successful setup, Dakmoney will install the required software and intellectual property to enable service delivery. All transactions must be conducted online through the DakMoney portal. Offline or fraudulent activity, including issuing false receipts, is strictly prohibited and may result in legal action under applicable Indian laws.
The Retailer/Partner/Distributor/Super Distributor is responsible for obtaining all necessary licenses and approvals to operate. All related expenses, taxes, and fees shall be borne by them.
Retail outlets must remain open during standard business hours or as specified by Dakmoney. They must not host or distribute any prohibited, illegal, or offensive material or engage in activities that violate public interest.
Dakmoney may, at its discretion, provide training materials, technical support, and ongoing operational guidance to authorized personnel of the outlet.
Encroachment or poaching of other partners' areas of operation is prohibited. Partners must not act in ways that harm the business interests of nearby DakMoney-authorized outlets.
At its discretion, Dakmoney may provide training, technical support, and operational guidance to authorized staff.
“Applicable Law” includes all relevant Indian laws and RBI guidelines.
“Applicant” is any adult individual applying for services.
“Consumer” is an approved user of services.
“Intellectual Property” includes DakMoney’s software, branding, and methods.
“Tax” refers to GST and other government-imposed charges.
Terms effective upon acceptance; operations must begin within 30 days.
Partner is authorized to offer DakMoney services but cannot bind DakMoney legally.
Outlet location changes need written approval.
DakMoney is a facilitator, not a service owner, and may withdraw appointment with notice.
Non-refundable registration fee required.
Maintain interest-free working capital for transactions.
Commissions are credited or adjusted automatically; rates are non-negotiable.
Pricing and discounts controlled by DakMoney only.
All operational costs and taxes are the partner’s responsibility.
Inactivity charges may apply; DakMoney may offset dues from commissions.
Partners are solely responsible for their staff, salaries, and statutory compliance. Minishop4U Online Services is not liable for staff actions or omissions.
During the partnership, the partner shall not offer similar services, solicit Minishop4U Online Services’s clients or staff, or misuse Minishop4U Online Services’s brand or network.
No rights over Minishop4U Online Services’s trademarks, software, or branding are granted. Unauthorized use may result in termination and legal action.
All shared info is confidential. The partner must safeguard login credentials and prevent unauthorized access. Minishop4U Online Services is not liable for security lapses or fraudulent use of credentials.
Partner agrees to follow laws, promote services fairly, employ trained staff, prevent fraud, and cooperate in audits. Any misuse of customer data, unauthorized access, or unfair practices may result in action. Required licenses and insurance must be maintained.
The Retailer/Partner/Distributor/Super Distributor confirms full understanding of the Agreement, legal compliance, authority to act, insurance coverage, and absence of conflicts.
Any succession or change in control requires Minishop4U Online Services’s written consent.
The Retailer/Partner/Distributor/Super Distributor agrees to indemnify and hold harmless Minishop4U Online Services and its affiliates from all claims, damages, losses, and expenses arising due to negligence, willful misconduct, breach of law, intellectual property violations, or misrepresentation by them or their representatives.
